A Member of a Company’s Management Board As a Proxy in the Situation Specified in Article 210 § 1 of the Polish Commercial Companies Code

Abstract

This article discusses the appointment a member of a company’s management board as a proxy in the situation specified in Article 210 §1 of Kodeks spółek handlowych (the Polish Commercial Companies Code). It examines the arguments for the regulation in Article 210 § 1 and also the views in the doctrine and court practice in this regard. The paper concludes with my own opinion. I argue that it is admissible to appoint a board member as a proxy in the situation specified in Article 210 §1 of the Polish Commercial Companies Code. There no legal provisions that prohibit such an action. Moreover, arguments to the contrary would stand in opposition to the systemic and literal interpretation of the law.
