‘Si tanti sit opera, quanti damnum est’. A Partner’s Contribution of Services and the Loss of the Assets of the Partnership

Abstract

This paper is devoted to the situation of a partner who had contributed to the partnership only his services, however the business did not bring expected profits and the invested capital was lost. As may be inferred from the sources, if the capital was lost during the operations of the partnership, as a rule all the partners were considered liable for the loss in proportion to the value of their contribution. Thus a partner, who contributed to the partnership solely the opera necessary for the realization of the joint undertaking, could be put in an awkward situation, because he would have been expected to participate in such loss in proportion to his share. In particular, the problem affected partnerships in which only one of the partners contributed his services to the partnership by investing the resources provided by other partners. If the partnership sustained a loss, this partner’s liability for the loss of the capital invested would have been on a par with the liability of the remaining socii, and contemporarily he would not have been paid for the services performed. In Author’s opinion, Servius Sulpicius’ suggestion forming the basis for the magna quaestio, to fully or partially exempt partner who contributed opera to a partnership from the participation in the loss of the capital invested, was intended as a remedy to such a situation fully realizing the principle of economic equivalence between the work performed by one partner and the capital invested by the other.
